At the time material in the determination of this application the first and second respondents were associations not for gain incorporated as companies limited by guarantee in terms of s21 of the then obtaining 1973 Companies Act (Act No. 61 of 1973). The application concerns the validity of the election of directors of the companies at their annual general meetings, both held on 27 October 2009.
