Clyde & Co advises Loinette Capital on key agribusiness acquisition in Tanzania

Global law firm Clyde & Co advised Loinette Capital Limited (Loinette) on its recent acquisition of the entire issued share capital of Hortanzia Limited (Hortanzia).

Clyde & Co acted as sole counsel to Loinette on all aspects of the transaction, including drafting and negotiating the key transactional documents, as well as providing strategic corporate advice on due diligence and regulatory approvals.

Loinette is a specialist asset-based finance provider focused on creating bespoke funding solutions to SMEs across sub-Saharan Africa since 2008. Hortanzia is a successful and well-established Tanzanian agribusiness, producing fresh agricultural products such as coffee, French beans, chives and mint, primarily for the overseas export market.

Michael Strain, Partner and Head of Corporate – East Africa at Clyde & Co in Dar es Salaam, comments: “This deal is a clear demonstration of the incredible opportunities that exist in the Tanzanian agribusiness sector. We look forward to continuing to support Loinette as they expand across the region in the coming years."

Lawrence Polkinghorne, Executive and deal lead at Loinette, says: “As an SME-focused group offering bespoke funding solutions across sub-Saharan Africa, this deal presents a fantastic opportunity for Loinette. Tanzania (and East Africa more generally) is an important growth area for our organisation and we look forward to continuing our partnership with Clyde & Co as we continue to invest across the region."

The Clyde & Co team was led by Michael Strain, with the support of James Pius (Senior Associate – Corporate) and Imani Mselle (Associate – Corporate).
